These Terms of Service (“Terms”) govern your access to and use of DealDesk (“DealDesk”, “we”, “us”), the AI-assisted finance and advisory application at dealdesk.upledge.org (the “Service”). By creating an account or using the Service, you agree to these Terms.
1. Not professional advice
DealDesk produces AI-assisted analysis only. Outputs are not financial, investment, legal, tax, accounting, or audit advice, and do not constitute a professional opinion. Generated figures and statements may contain errors and must be independently verified against source documents before any reliance or decision. You are solely responsible for decisions made using the Service and should consult qualified professionals.
2. The Service
DealDesk lets finance professionals run structured, multi-step advisory workflows — selecting an advisor role, providing inputs and documents, and receiving formatted outputs generated by large-language models. Features, plans, and limits may change over time.
3. Accounts & eligibility
- You must be at least 18 and able to form a binding contract.
- You are responsible for your account credentials and all activity under your account.
- You agree to provide accurate information and keep it up to date.
4. Acceptable use
You agree not to:
- Use the Service unlawfully or to infringe others’ rights.
- Upload content you lack the rights to process, or that contains malware.
- Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.
- Resell or abuse the Service, or circumvent usage metering and plan limits.
5. Subscriptions, credits & billing
Paid plans are billed through our payment provider (Stripe) on a recurring basis until cancelled. Usage is metered in credits according to your plan. Fees are charged in advance and are non-refundable except where required by law. You can manage or cancel your subscription from your account; cancellation takes effect at the end of the current billing period.
6. Your content
You retain ownership of the documents and inputs you provide and of the outputs generated for you. You grant us a limited license to process your content solely to operate and provide the Service (including transmitting it to LLM providers to generate outputs). 7. Intellectual property
The Service, including its software, design, and branding, is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks or to the underlying software beyond use of the Service.
8. Third-party services
The Service relies on third parties (LLM providers, payment processing, email, and hosting). Their availability and behaviour are outside our control, and your use of the Service may be subject to their terms.
9. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, accuracy, and non-infringement. We do not warrant that outputs are accurate, complete, or reliable.
10. Limitation of liability
To the maximum extent permitted by law, DealDesk and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability will not exceed the amounts you paid us in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your content, your use of the Service, or your breach of these Terms.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. Provisions that by their nature should survive termination (e.g. disclaimers, liability limits, IP) will survive.
13. Changes to the Service and Terms
We may modify the Service or these Terms. Material changes to the Terms will be indicated by updating the “Last updated” date above. Continued use after changes constitutes acceptance.
